These Terms of Service ("Terms") govern your access to and use of the website located at https://joltsms.com, the JoltSMS dashboard (including https://app.joltsms.com), any related documentation, APIs, webhooks, integrations (including Slack/Discord/email forwarding), and any related services we provide (collectively, the "Services"). The Services are operated by Reliable Channel LLC ("Company," "we," "us," "our").

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

These Terms incorporate by reference our Acceptable Use Policy ("AUP") and Privacy Policy, and any other policies we post within the Services (collectively, "Policies"). If these Terms conflict with a Policy, these Terms control unless the Policy expressly states otherwise.


1) Definitions

  • "Account" means your registered account used to access the Services.
  • "Dedicated Number" means a phone number assigned exclusively to your Account for the duration of your paid rental term, subject to these Terms.
  • "Inbound SMS" means SMS messages received by a Dedicated Number.
  • "Message" means an inbound SMS message and associated metadata (e.g., timestamp, sender number, delivery status).
  • "Destination" means a delivery endpoint you configure (e.g., dashboard inbox, webhook URL, Slack, Discord, email).
  • "Subscription" means your recurring paid plan for access to one or more Dedicated Numbers and related features.

2) Eligibility; Authority; Sanctions

You must be at least 18 years old to use the Services.

If you use the Services on behalf of a company or other entity, you represent and warrant you have authority to bind that entity, and "you" refers to that entity.

You may not use the Services if you are prohibited from doing so under applicable law, including if you are subject to applicable sanctions or are on a restricted party list.


3) Account Registration; Security; Team Access

To access the Services, you must create an Account and provide accurate, current, and complete information. You are responsible for all activity under your Account, including activity by anyone you authorize, invite, or allow to access your Destinations (including teammates and contractors).

You must safeguard your credentials and promptly notify us of any unauthorized use or suspected compromise.

We may require verification of identity, business information, or payment method ownership to prevent fraud or abuse. Failure to provide requested information may result in suspension or termination.


4) Scope of Services; Important Limitations

4.1 Inbound-only; no outbound

JoltSMS provides Inbound SMS to Dedicated Numbers and delivery of Messages to your configured Destinations. JoltSMS does not provide outbound SMS sending.

4.2 Not a carrier; no phone service

We are not a traditional telecommunications carrier and do not provide traditional phone service. The Services may rely on upstream carriers and providers and are subject to their technical and policy constraints.

4.3 No voice; no emergency services

The Services do not support voice calling and do not support emergency services (including 911). Do not rely on the Services for emergency communications.

4.4 Third-party acceptance is not guaranteed

Third-party platforms (e.g., banks, social networks, messaging apps) and telecom networks may block, delay, filter, or reject verification attempts at any time based on their own policies and risk controls. We do not guarantee that any Dedicated Number will be accepted by any third party for registration, verification, 2FA, or account recovery—even if it worked previously.


5) Acceptable Use; Compliance; Prohibited Conduct

Your use of the Services must comply with these Terms, the AUP, and all applicable laws and regulations.

You must not (and must not allow others to) use the Services for:

  • fraud, scams, phishing, social engineering, deception, or impersonation;
  • money laundering, evasion of compliance controls, or unlawful financial activity;
  • unauthorized access to accounts/systems or attempts to bypass security or platform enforcement;
  • harassment, threats, hate, or abusive conduct;
  • spam or facilitating spam operations (including using inbound delivery as part of spam workflows);
  • creating or operating accounts in violation of a third-party platform's terms (including ban evasion or repeat registrations intended to circumvent enforcement);
  • reselling, sublicensing, "SIM farming," or providing the Services as a bureau/service to third parties without our written permission;
  • probing, scanning, reverse engineering, scraping, rate-limit evasion, or interfering with the Services or our networks;
  • any activity that harms, disrupts, or materially increases risk or cost to us, our providers, carriers, or other users.

We may investigate suspected violations, suspend or terminate Accounts, and cooperate with lawful requests from authorities.


6) Dedicated Numbers; No Ownership; No Porting; Reassignment

6.1 No ownership / no property rights

All Dedicated Numbers are provided as part of a limited, revocable, non-transferable license to use the Services. You do not own, purchase, or acquire any property rights in any Dedicated Number. Dedicated Numbers remain controlled by us and/or our upstream providers and underlying carriers.

6.2 No port-out; no transfer

Porting Dedicated Numbers out of the Services is not supported. You acknowledge and agree that you will not be able to port, transfer, assign, or move a Dedicated Number to another provider, carrier, platform, or person. Any request to port out may be denied in our sole discretion, except where required by applicable law.

6.3 Reassignment / recycling / loss of number

Your ability to keep a Dedicated Number is conditioned on (a) an active Subscription in good standing, (b) compliance with these Terms and the AUP, and (c) continued availability from our upstream providers and carriers.

We may reclaim, replace, or reassign a Dedicated Number, including without limitation if:

  • your Subscription is canceled, expires, is not renewed, or payment fails;
  • your Account is suspended or terminated;
  • required by law, legal process, or carrier/provider policy;
  • necessary to prevent fraud, abuse, or harm; or
  • the number becomes unavailable due to carrier/provider changes.

Once reclaimed or replaced, you may permanently lose access to that Dedicated Number and any Messages sent to it.

6.4 No reliance for critical uses

Dedicated Numbers are not intended for uses where loss of the number could create harm or liability. Do not use a Dedicated Number as the sole identifier for banking/financial accounts, government services, medical services, legal notices, or any mission-critical or emergency use. You are responsible for maintaining alternative recovery methods for any third-party accounts.

6.5 No public directory listing / misrepresentation

You may not list a Dedicated Number in public directories, represent it as permanently owned, or use it in a manner that suggests you are the carrier or service provider.


7) Message Delivery; Destinations; Webhooks

7.1 Best-effort delivery

We aim to deliver Messages to your Destinations reliably, but delivery may fail due to factors outside our control (carrier issues, provider downtime, third-party filtering, your webhook availability, Slack/Discord outages, email bounces, or misconfiguration). We do not guarantee delivery times or successful delivery.

7.2 You control Destinations and security

You are responsible for configuring Destinations, securing webhook URLs/tokens, and maintaining access controls (including for teammates). We are not responsible for disclosure of Messages caused by your Destinations (including webhook leaks, misconfigured Slack/Discord permissions, forwarded emails, or compromised credentials).

7.3 Fair use for inbound volume

If your plan includes "unlimited inbound SMS," it is subject to fair use. We may throttle, limit, delay, or suspend delivery if usage is excessive, automated, abnormal, or indicative of abuse or prohibited activity (as determined by us).


8) Fees; Billing; Taxes; Payment Failures; Chargebacks

8.1 Subscription fees and auto-renewal

You agree to pay all fees presented at checkout. Subscriptions typically auto-renew unless canceled before renewal.

8.2 Payment authorization

You authorize us (and our payment processors) to charge your payment method on a recurring basis according to your Subscription.

8.3 Taxes

Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for applicable taxes associated with your purchase, except taxes based on our net income.

8.4 Failed payments

If a payment fails, is reversed, or becomes disputed, we may suspend or terminate your access (including access to Dedicated Numbers) until resolved.

8.5 Chargebacks

Initiating an unwarranted chargeback or payment dispute may result in immediate suspension or termination. We may provide transaction and usage evidence to processors to contest chargebacks.


9) Refunds; Service Credits; Remedies

Except where required by law, fees are non-refundable, including for partial periods, unused time, or third-party incompatibility.

If we determine, in our sole discretion, that a material service failure occurred within our systems (not caused by third parties or your Destinations), we may offer a pro-rated refund, service extension, service credit, or other remedy. Any such remedy is your sole and exclusive remedy for the applicable failure.


10) Intellectual Property; License; Restrictions; Feedback

The Services and all related content and software are owned by or licensed to us and protected by law.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes, subject to these Terms.

You may not copy, modify, create derivative works, reverse engineer, decompile, or attempt to extract source code from the Services except to the extent permitted by applicable law.

If you submit feedback or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use them without compensation or obligation.


11) Privacy; Data; Monitoring; Message Retention

Our Privacy Policy describes how we collect and use personal data.

You acknowledge Messages may contain sensitive data (including OTP/2FA codes). You are responsible for ensuring your use, storage, and sharing of Messages complies with applicable law and your internal policies.

To operate the Services, prevent abuse, and comply with law, we may monitor, log, and analyze usage patterns and metadata, and may review Message content when reasonably necessary for support, security investigations, abuse prevention, or legal compliance.

Message Retention: We do not guarantee indefinite storage of Messages or logs. We may delete Messages and logs in accordance with our retention practices and legal obligations.


12) Suspension; Termination; Effect

We may suspend or terminate your Account and access to the Services immediately if:

  • you violate these Terms or the AUP;
  • we suspect fraud, abuse, or unlawful activity;
  • your payment fails, is reversed, or is disputed;
  • required by law, legal process, or provider/carrier policy; or
  • your use poses risk to the Services, our vendors, carriers, or other users.

Upon suspension/termination, your license ends, you may lose access to Dedicated Numbers and Message history, and we may reclaim/reassign Dedicated Numbers.


13) Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • A DEDICATED NUMBER WILL BE ACCEPTED BY ANY THIRD-PARTY PLATFORM;
  • INBOUND SMS WILL ARRIVE OR BE DELIVERED WITHOUT INTERRUPTION OR DELAY; OR
  • THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RELIABLE CHANNEL LLC OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the greatest extent permitted by law.


15) Indemnification

You agree to defend, indemnify, and hold harmless Reliable Channel LLC and its affiliates, officers, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:

  • your use of the Services;
  • your Messages and Destinations;
  • your violation of these Terms, the AUP, or applicable law; or
  • your violation of any third-party rights or terms.

16) Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS.

16.1 Informal resolution

Before initiating arbitration, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

16.2 Binding arbitration

If not resolved, any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Tarrant County, Texas, unless the parties agree otherwise.

16.3 Class action waiver

YOU AND WE AGREE THAT DISPUTES WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may award relief only in favor of the individual party seeking relief.

16.4 Injunctive relief

Nothing prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent unauthorized use, security breaches, or infringement of intellectual property.


17) Changes; Interruptions; Upstream Provider Requirements

17.1 Changes to the Services or Terms

We may modify the Services and these Terms at any time. Changes become effective upon posting (or as otherwise stated). Continued use after changes constitutes acceptance.

17.2 Interruptions

We cannot guarantee the Services will be available at all times. Maintenance, outages, and provider disruptions may occur. We are not liable for downtime or interruptions.

17.3 Upstream provider and carrier requirements

Your use of the Services is subject to requirements imposed by our upstream providers and carriers. We may take any action we deem necessary to comply with provider/carrier rules, including restricting traffic, suspending Accounts, or reclaiming numbers.


18) Miscellaneous

  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control (including carrier outages, internet failures, labor disputes, governmental actions).
  • Severability: If any provision is unenforceable, the remainder remains in effect.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Entire Agreement: These Terms and Policies constitute the entire agreement regarding the Services.
  • No Waiver: Failure to enforce any provision is not a waiver.

19) Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles.
